Lender Partner Program Terms
Real Estate Mastery Academy LLC (DBA JoinRMACoaching), 1769 Worth Park, Charlottesville, VA 22911 · support@joinrmacoaching.com
These terms govern a mortgage lender, broker, or loan originator (the Lender) buying a Lender Partner pod from RMA. By completing the pod checkout you accept these terms, the RMA Terms of Service, the Sponsored Seat Terms, and the Privacy Policy on behalf of the Lender. Section 3 states that nothing here is contingent on referrals. Section 6 lists exactly what the Lender receives about sponsored members, and it is all the Lender will ever receive. Read both. Section 11 adds the optional Academy Co-Pay.
1. What a pod is
A pod is two separate purchases in one checkout:
(a) Portal and Co-Marketing Services, $199 a month, flat. For the fee the Lender receives, for the life of the pod: access to the Lender portal; the co-branded header shown to the Lender's sponsored members inside the RMA app; the standardized financing box appended to marketing documents those members export from Artifact Studio; the pod analytics view described in Section 6; and, for pods of ten seats or more, a seat at RMA's quarterly market call. The fee is the same for every Lender and every pod size. It is a payment for software access and advertising placement that RMA actually furnishes to the Lender, priced at what RMA charges anyone for those services.
(b) Member seats, at the retail price of the tier. The Lender pays RMA the published monthly price of the Practice or Toolkit tier for each named member seat in the pod (five, ten, or twenty-five or more). RMA delivers the coaching and tools to the member. The seat price is the price any member pays; there is no Lender discount and no volume price.
(c) Academy Co-Pay shares, optional. Inside an active pod the Lender may also pay part of a named agent's Academy membership on the terms in Section 11.
2. Payment streams stay separate
- The Lender pays RMA directly, by card or ACH through RMA's checkout, for both parts of the pod. RMA does not accept a Lender's payment through a member, and a member may not be reimbursed by the Lender for a seat or for the member's own share of an Academy Co-Pay.
- Fees are fixed monthly amounts. No fee, credit, discount, co-pay share, or refund under these terms is measured by, or changes with, the number of loans, applications, pre-approvals, referrals, or closings that any member sends to, or receives from, the Lender. RMA does not track those numbers and will not report them.
- Fees renew monthly on the pod's anniversary until the Lender cancels from the portal or by email to support@joinrmacoaching.com; cancellation takes effect at the end of the paid month. Unused whole months of a seat whose member leaves RMA are credited to another named member or refunded. Otherwise fees are non-refundable.
3. Nothing here is contingent on referrals
- Payments under these terms are strictly for advertising services and software platform access at fair market value and for the coaching delivered to the sponsored members.
- Sponsorship is not contingent upon the referral of settlement-service business or real estate business by any member to the Lender, by the Lender to any member, or by RMA to anyone.
- Every sponsored member is free to use any lender for any transaction. The Lender will not require, request, track, reward, or penalize referrals from sponsored members, and will not condition a seat, its continuation, or its reassignment on any loan or referral.
- RMA does not refer members to the Lender, does not recommend the Lender to members, and does not represent that the Lender is preferred, approved, or endorsed by RMA.
- The Lender represents that it has reviewed this program with its own compliance function, that its participation complies with the Real Estate Settlement Procedures Act (12 U.S.C. 2607), Regulation X (12 C.F.R. 1024.14), and the laws of every state in which it and the sponsored members operate, and that it will give RMA written confirmation from its compliance officer on request.
4. Named seats and seat control
- Seats are for named members the Lender designates at checkout or later in the portal. A member must accept the seat, and the disclosures that come with it, before the seat activates; a member may decline or leave at any time.
- The Lender may revoke a seat and assign it to another named member only for one of the following reasons, selected in the portal and recorded: the member has not checked in on the Platform for 30 days; the member left RMA or declined the seat; the member asked to leave the pod; or the pod term is renewing. A seat may never be revoked or moved because of the member's lending choices, loan volume, or referrals, and the portal offers no such reason.
- The Lender may select a reason only when it is true, and the Platform checks the reason against its own record before acting on it. The same closed list, and the same check, govern ending an Academy Co-Pay (Section 11).
- RMA may refuse a reassignment and may end a Lender's participation under Section 9.
5. Co-branding content and the Lender's warranties
- The Lender supplies its name and logo for the header and the contents of the financing box: the loan originator's name, individual NMLS ID, company name and NMLS ID, licensing states, contact details, and the Equal Housing Lender or Equal Housing Opportunity statement. The box is a standardized template: RMA sets its layout and size so the Lender's information and the member's branding carry proportionate visual weight, and the Lender may not alter it.
- The box and header may not contain interest rates, payment amounts, APRs, terms, or any trigger term under Regulation Z (12 C.F.R. 1026.24), any comparative or superlative lending claim, or any statement about a member's clients. The Lender is solely responsible for its content complying with the SAFE Act and NMLS rules, Regulation Z, the Truth in Lending Act, fair-lending law, and state advertising rules, and for keeping its licensing current.
- RMA may remove or suspend any Lender content it believes is non-compliant, without refund of that month.
- The header link lets a member contact the Lender's loan originator if the member chooses. RMA does not report to the Lender whether any member clicked it.
- The Lender will not describe the program as a scholarship or foundation, will not represent itself as affiliated with, endorsed by, or partnered with RMA beyond "Lender Partner," and will not use RMA's marks outside the portal without written permission.
6. What the Lender sees, and what it never sees
The Lender receives, and only receives:
- The names of its sponsored members, the tier of each seat, the seat start date, and whether each member has accepted the seat.
- The pod analytics view, which shows totals for the pod as a whole, never for an individual member, and only while at least five sponsored members are active. It shows exactly these five figures and nothing else: Sponsored members active (how many of the pod's seats are held by a member who accepted the seat); Check-in rate (the share of seated members who checked in on the platform in the last 30 days); Active listings (the number of listing-side leads in Hot or Nurture across the pod, not yet under agreement); Pipeline volume (the sum of the expected prices members entered on their open Hot and Nurture leads, across the pod, in dollars, never per member); and Agreements signed this month (the number of leads across the pod whose agreement was signed in the current calendar month). Practice-tier pods do not include the Lead Tracker, so their listing and pipeline figures are always zero. RMA may change or remove the view on notice.
- A general engagement statement for each seated member on request: whether the member is checking in, in general terms.
- For each Academy Co-Pay (Section 11): the agent's name, the email address the Lender itself entered to make the offer, the share the Lender pays, the status of the offer (offered, accepted, active, declined, or ended), and the dates it was offered, started, and ended. The Lender is not told why a co-pay ended. Co-pay agents are not counted in the pod analytics view, and no engagement statement is given for them.
The Lender never receives: any per-member production, pipeline, listing, buyer, or closing figure; any transaction, address, client, lead, or consumer detail; which lender any member or client used on any transaction; any referral count or referral figure of any kind; any member's check-in text, money-tool data, Huddle activity, or Academy submissions; or any member's contact details beyond the name (and, for an Academy Co-Pay, the email address the Lender itself entered), unless the member gives them to the Lender directly. The Lender will not attempt to re-identify an individual from the analytics view.
Every view of the analytics screen is logged. RMA tells every sponsored member, before the seat or co-pay activates, exactly what the Lender sees under this section.
7. Members are RMA's members
- Sponsored members hold their own accounts, accept the Terms of Service themselves, own their data, and may leave the pod at any time without telling the Lender why. Their data beyond Section 6 is never shared with the Lender.
- The Lender may reach members only through channels a member chooses to use. RMA does not connect them, does not pass member contact details to the Lender, and does not pass Lender messages to members.
- The quarterly market call is hosted by RMA, covers market conditions and practice systems, is recorded under Terms section 10.2, and is voluntary for members. It is not a review of any member's transactions or lending relationships.
8. Indemnity and responsibility
- The Lender is responsible for its own compliance and for the content it supplies. The Lender will defend and indemnify RMA, its members, managers, coaches, and its service providers (including Oikos United LLC), against any claim, regulatory inquiry, penalty, or loss arising from the Lender's content, the Lender's dealings with any member, or the Lender's compliance with the laws named in Sections 3 and 5.
- RMA provides the portal, the placements, and the coaching "as is" under Terms section 14, which applies to the Lender. RMA's liability to the Lender for all claims is limited to the fees the Lender paid RMA in the twelve months before the claim.
9. Suspension and termination
- RMA may suspend or end the Lender Partner Program, or any Lender's participation, on written notice if RMA's counsel so advises, if a regulator inquires into the program, or if the Lender breaches these terms. Unused whole months are refunded on a suspension not caused by the Lender's breach.
- On termination, the Lender's header and financing box are removed from sponsored members' accounts and exports, the analytics view closes, and the members are told the seat's end date and how to continue on their own subscription. Nothing is charged to a member without the member's own checkout consent. An agent on an Academy Co-Pay keeps the Academy on their own subscription at the full published price from their first bill at least 7 days after the co-pay ends (Section 11, which also sets out when the share comes off at once), as they agreed when accepting the co-pay, unless they cancel; RMA emails them when the co-pay ends.
10. General
The Lender is not RMA's agent, partner, affiliate, or joint venturer. These terms, the Terms of Service, the Sponsored Seat Terms, and the Privacy Policy are the whole agreement about the program. Virginia law governs; disputes go to the state or federal courts in Charlottesville, Virginia. The Lender's online acceptance is a signature under the E-SIGN Act and the Virginia Uniform Electronic Transactions Act. RMA may update these terms on 30 days' notice to Lenders with active pods. A Lender whose pod began under an earlier version accepts Section 11, and the rest of this version, when it first offers an Academy Co-Pay; until then its pod continues under the version it accepted.
11. Academy Co-Pay
- What it is. Inside an active pod, the Lender may offer a named agent to pay 25, 50, or 75 percent of the published monthly price of the Academy tier. The agent pays the remainder on their own Academy subscription, where the Lender's share appears as a reduction. The two parts add up to the published price; RMA gives neither the Lender nor the agent a discount. The Lender's share is billed monthly as a line on the pod's subscription, only for co-pays that are active, plus the one closing share described under Ending by the Lender.
- Section 3 applies in full. A co-pay is not contingent on, and creates no expectation of, the agent referring any business to the Lender. The Lender chooses which agents to offer a co-pay and which share to offer by criteria unrelated to referrals, loans, or closings, will not set, change, or end a share because of an agent's lending choices, loan volume, or referrals, and will describe its criteria to RMA in writing on request.
- The share is fixed. The share is chosen when the offer is made and does not change while the co-pay runs.
- The agent decides. Nothing starts and nothing is charged until the agent has read Section 6, accepted, and, if not already paying for the Academy, paid their own share at checkout. The agent may decline, and may leave at any time and keep the Academy at the full price. The agent's own payments and cancellations are the agent's business: the Lender is told only that a co-pay ended, never why.
- Ending by the Lender. The Lender may end a co-pay only for a reason from the closed list in Section 4, and only when the Platform's record supports it. Withdrawing an offer the agent has not yet accepted is always allowed. When a pod ends, every co-pay in it ends. In each case RMA emails the agent when the co-pay ends, and the agent keeps the Academy at the full price from their first bill that falls at least 7 days after that email. If the agent's next bill is sooner, the Lender's share still applies to that one bill and is charged to the Lender, once. This does not apply when the agent leaves a co-pay themselves, when the agent has already cancelled their Academy membership, or when the agent's own payment is overdue when the co-pay ends: in those cases the Lender's share comes off at once and no closing share is charged.
- Co-branding. While a co-pay is active, the agent's dashboard carries the Lender's header and the agent's Studio exports carry the financing box, under Section 5, exactly as for a seated member.
- Not a sponsored seat. A co-pay is not a seat under Section 4 or the Sponsored Seat Terms. Sections 2, 3, 5, 6, 7, 8, 9, and 10 of these terms apply to it.
- Name. The program is called the Academy Co-Pay. Section 5's naming rule applies.
